General terms and conditions of use

1). Preamble :

The Club of Investor in Parking lots and Garages (CIPG) is an IT platform for bringing real estate investors into contact with each other ; it can provide associated services directly or indirectly for all users of the site. CEO of the Club of Investor in Parking lots and Garages (CIPG) is Mr Christophe MARTIN, registered office is located at 91 allée Rosa Parks 42153 RIORGES, France. (Siret number: 820 744 647 00018).

2). Purpose :

The purpose of this page is to define the general terms and conditions of use and general conditions of sale in which the Club of Investor in Parking lots and Garages (CIPG) makes the www.parking-garage.com Website and various Services available to Users as well as the rights and obligations of Visitors.

The use of the Club of Investor in Parking lots and Garages (CIPG) website is reserved for Users who have previously read and accepted these Terms of Use and General Terms and Conditions of Sale without reservation. It is also recalled that any subscription of paid option(s) by a Visitor constitutes full and complete acceptance of these conditions.

In these Terms of Use and General Terms and Conditions of Sale, capitalized terms and expressions have the meanings set out below, whether used in the singular or plural:

  • Advertisement or Ads : refers to all the elements describing a property (visuals, texts and photographs) submitted by an Advertiser under its editorial responsibility.
  • Advertiser : refers to any natural person, of legal age, acting exclusively for private purposes, who has placed an Ad on the Website.
  • Lease : refers to a lease agreement signed between a Visitor and one of the Members of the Club of Investors in Parking lots and Garages (CIPG) under the responsibility of each party.
  • Need : request for support or advice expressed by one of the Members of the Club of Investors in Parking lots and Garages (CIPG).
  • Club of Investors in Parking lots and Garages (CIPG) : designates the club, its representative Mr Christophe MARTIN.
  • Order : refers to any product or service ordered by a Visitor to the Club of Investors in Parking lots and Garages (CIPG).
  • Contributor : refers to any visitor who has sent an email, comment, Announcement, Contribution; or published on the site for information purposes.
  • Contribution : refers to any work (text, e-mail, commentary, announcement, showcase page, document, forum, photograph, audiovisual or multimedia work) that the Contributor sends to the Club of Investors in Parking lots and Garages (CIPG). It is understood that all exchanges: questions, answers and comments constitute Contributions.
  • Tenant : refers to any natural person of full age or legal entity who has signed a rental contract with a Member.
  • Member : refers to any natural person of full age or legal entity who has joined the Club of Investors in Parking lots and Garages (CIPG) and is up to date with his or her contribution.
  • Showcase page : refers to the page that presents a property for rent selected from the Ads, a Member’s parking space or an advertising selection considered as a Contribution.
  • Parties : refers to any Advertiser, Contributor, Member or Visitor on the one hand and the Club of Investors in Parking lots and Garages (CIPG) on the other hand.
  • Product : refers to any real estate property or services available on the websites of the Club of Investors in Parking lots and Garages (CIPG).
  • Website : refers to the websites and domain parking-garage.com, operated by the Club of Investors in Parking lots and Garages (CIPG), accessible mainly from URLs: www.parking-garage.com, www.cipg.fr and www.parking-garage.info ; allowing Visitors, Users and Advertisers to access the Service via the Internet.
  • Visitor : refers to any natural or legal person visiting the sites of the Club of Investors in Parking lots and Garages (CIPG) including the Advertiser, Contributor and Member.
  • Service : refers to all documents, reports, advice, training, offered on the website of the Club of Investors in Parking lots and Garages (CIPG).

4). Reminder of the contractual elements :

Our Website connects Members who own or not real estate with potential tenants. The Club of Investors in Parking lots and Garages (CIPG) does not intervene in the contractual relations between the parking holder and the Tenant, but limits itself to putting the two parties in contact free of charge.

Beyond this Website, all Users are reminded that the contractual documents that may be signed with a Member of the club (rental lease, commercial contract, etc.) do not in any way engage the responsibility of the Club of Investors in Parking lots and Garages (CIPG).

5). Membership of the Club :

Any natural person of full age or legal entity may freely become a Member of the Club of Investors in Parking lots and Garages (CIPG). The User may only use the entire service of the Club after having registered and obtained the status of Member, and having logged in by indicating as identifiers his email address or nickname and his personal password. The Member may modify all the information he/she has provided during registration, using the management parameters of his/her account. It takes responsibility for all actions carried out by means of its identification information, and in particular, and not exclusively, its Contributions.

5.1). Application for membership :

When applying for membership, the Visitor undertakes to provide accurate, up-to-date and complete information. The Club of Investors in Parking lots and Garages (CIPG) may at any time verify the information provided and refuse an application for membership without having to justify its decision. In the event of a refusal to join, the Club undertakes to refund the contribution received; the Visitor thus refused shall not be entitled to any payment of penalty or damages.

To create an account and become a Member, the Visitor must :

  • enter your email address,
  • give a password that he undertakes to keep confidential,
  • give a user name,
  • give his phone number,
  • proceed to the payment of the membership fee.

The creation of an account implies acceptance of these Terms of Use. By registering, the User agrees in particular to receive information from the Club of Investors in Parking lots and Garages (CIPG) by e-mail, from which he/she can unsubscribe upon simple request to our administrative department.

5.2). Member status :

A Visitor acquires the status of Member of the Club of Investors in Parking lots and Garages (CIPG) from the moment his registration has been validated. The admission of members is subject to the payment of an annual membership fee, the minimum amount of which is set at $ 60 (sixty US dollars) per year and per Member. Two other statuses (Premium and Platinium) allow you to unlock more content.

5.3). Access to the Member area :

Each Member of the Club of Investors in Parking lots and Garages (CIPG) has a username and password to connect to the trading platform and thus obtain a large amount of confidential information that can help them in the search or management of their property. It is recalled that connection identifiers may not be transmitted to a third party, under penalty of being deleted from the Club of Investors in Parking lots and Garages (CIPG).

5.4). Active or passive member :

Our club represents two investor profiles : Active Members who actively participate in discussions and answer questions from other Members and Passive Members who contribute to our trading platform by expressing their needs and expectations. There is no obligation within our club, each Member is free to participate or not in the discussions. Throughout its membership period, a Member may change investor profiles several times depending on its activity within the Club of Investors in Parking lots and Garages (CIPG).

5.5). Team member and ambassador :

All Members of the club can apply to join the team as volunteers and become ambassadors, each application will be considered. A Member who becomes an ambassador receives privileged access to the club’s management module with rights established according to his volunteer activity : forum, blog, site, moderation or administration. These are likely to change over time. It is expressly recalled that an Ambassador Member is not allowed to use the information and contact lists contained in the team module for personal or commercial purposes.

5.6). Webinar and video conference :

The community module allows you to exchange between Members of the club, the Club of Investors in Parking lots and Garages (CIPG) reserves the right to record a webinar and/or videoconference to allow all other Members to review it in video. The participation of a Member in a webinar and/or video conference implies the waiver of the Member’s image rights.

5.7). Rewards :

To reward the most active Members who participate most in the life and development of our club. The Club of Investors in Parking lots and Garages (CIPG) can offer internal competitions and exceptionally offer gifts. These rewards are not goods in kind but discount coupons that can be used to order a Product, Service or pay an annual membership fee.

5.8). Suspension of an account or resignation of a Member :

In order to keep the list of Community Members up to date, an account that has been inactive for more than 3 consecutive months may be suspended at any time without notice. A suspended Member shall not be entitled to any refund of dues, penalties or damages.
Resignation is a right that each Member may exercise at any time. The Member wishing to leave the Club of Investors in Parking lots and Garages (CIPG) must send an email of resignation to the person in charge of the club using the contact form on our Website. A resigning Member may not claim any refund of membership fees, penalties or damages. All Member Contributions will remain the property of the Club of Investors in Parking lots and Garages (CIPG).

5.9). Subscription with automatic annual renewal :

At the request of some members, a registration method with automatic annual renewal is available on our website. Paypal records your preferences to create a regular recurring payment. You can unsubscribe free of charge and at no charge by following the instructions on the Paypal forum by clicking on this link. Do not hesitate to contact us if you wish to set up an automatic renewal of your membership.

5.10). Removal, exclusion of a Member :

Only the head of the Club of Investors in Parking lots and Garages (CIPG) may decide to remove or exclude a Member if one of the following situations arises:

  • Non-payment of the annual fee or an Order,
  • Transmission of its identifiers to a third party,
  • Dissemination of a given information in the member area,
  • Behaviour or disrespectful comments towards a third party,
  • Non-compliance with applicable laws,
  • Use of a false identity or identity theft,
  • Serious misconduct affecting the balance and image of the Club of Investors in Parking lots and Garages (CIPG),
  • Non-compliance with the rules of moderation.

A Member who has been struck off or excluded may not claim any refund of membership fees, the use of rewards, penalties or damages. The Club of Investors in Parking lots and Garages (CIPG) reserves the right to sue any excluded person for damages if their misconduct has caused them harm.

5.11). Former Member Status :

The unsubscription has no effect on previous transfers; in particular, the Club of Investors in Parking lots and Garages (CIPG) may continue to use the Contributions of the former Member who has become a Visitor. This Visitor thus automatically undertakes to waive any pursuit or action in intellectual property on all Contributions exchanged with the Club of Investors in Parking lots and Garages (CIPG).

6). How ads and showcase pages work :

The Club of Investors in Parking lots and Garages (CIPG) provides Visitors with a classified ads module strictly reserved for parking (parking, garage, box or warehouse). This module on our Website includes the following two types of ads:

  • The basic advertisement, which is submitted free of charge and is presented with a photo. The Contributor benefits from visibility on our Website thanks to our referencing. Visitors can contact the Advertiser since his telephone number and e-mail address are in public access. It is recalled that an Announcement is considered a Contribution, therefore, the Club of Investors in Parking lots and Garages (CIPG) may exploit its content.

7). Methods of making contributions available :

8). Rules of good conduct :

Each Visitor and each Member is solely responsible for the information, messages and, in general, for any content he or she disseminates via the interactive services of the Club of Investors in Parking lots and Garages (CIPG) such as commentary services, forum, private messaging or request for a quote.

Each Visitor undertakes not to do anything that could prejudice the honour or consideration of the Club of Investors in Parking lots and Garages (CIPG), its activities or its representatives.

10). Order modification :

The technical characteristics mentioned by the advertising and/or communication media of the Club of Investors in Parking lots and Garages (CIPG) are given for information only and have no contractual value. The Club of Investors in Parking lots and Garages (CIPG) reserves the right to make any technical modifications to the Products or Services offered, without affecting their essential characteristics. 11). Timetable of execution :

The execution time is indicative for all Products and Services. For so-called “standard” Products, the delivery time is instantaneous with the unlocking of the page of the Website giving access to the Product. For “personalized” Products or Services, the delivery time is approximately 5 to 15 days excluding the holiday period.

If the execution period is mandatory for a Tenant or a Member, the latter must specify this when placing the Order. The above execution deadlines as well as all deadlines mentioned herein are in working days.

12). Payment : 

The Visitor or Member wishing to acquire a Product or Service undertakes to pay to the Club of Investors in Parking lots and Garages (CIPG) the amount provided for at the time of validation of the Order in accordance with the payment conditions below :

  • 100% of the price before execution.

This payment can be made by bank transfer, credit card via Paypal, Paypal transfer or by bank check.

13). Modification of the conditions :

The Club of Investors in Parking lots and Garages (CIPG) reserves the right to modify, at any time and without notice, these general conditions of use and sale in order to adapt them to changes in the operation of our Internet Sites, Products or Services.

14). Navigation data and affiliation :

By mutual agreement, the parties agree that future exchanges concerning the execution of these General Conditions may take place by electronic mail and in particular by e-mail with or without acknowledgement of receipt.

The parties further agree to implement in parallel all appropriate measures to protect themselves as effectively as possible against intrusions and attacks of all types (viruses, worms, Trojans, etc.) and in particular firewalls and anti-virus software regularly updated and properly configured in order to guarantee the availability, integrity and confidentiality of e-mails and attached files exchanged between them by Internet in the context of the execution of this agreement.
Members are personally responsible for archiving documents issued and received, in particular for their own tax and accounting needs.

17). Confidentiality :

The parties undertake to consider confidential all commercial, financial, technical or other information and contributions obtained in the context of the execution of the Members’ support or an Order for a Product or Service. Each Member undertakes not to disclose to unauthorised third parties confidential information, significant know-how information that other Members may have communicated to it.

In this regard, each party undertakes to take the following safeguard measures :

  • Refrain from disclosing to third parties in any way whatsoever all or part of the information of a confidential nature, even after the expiry or termination of a membership or these General Terms and Conditions.

18). Intellectual Property :

18.1). General reminder :

All the pages of our Websites are the property of the Club of Investors in Parking lots and Garages (CIPG). The reproduction or distribution of data, in whole or in part, is prohibited. Visitors or Members may not, under any circumstances, appropriate or disclose to third parties the studies, projects, logos and documents carried out by the Club of Investors in Parking lots and Garages (CIPG), which remain the property of the latter.

18.2). Contribution to the club :

By sharing its Contribution with the Club of Investors in Parking lots and Garages (CIPG), the Contributor assigns the exclusive and free right to represent, reproduce, adapt, modify, distribute and distribute its Contribution, directly or through an authorized third party, worldwide, on any medium (digital or physical), for the duration of the intellectual property. 19). Order cancellation :

It is recalled that the termination of a club membership does not entitle the Member to reimbursement or compensation, since the Member has had the possibility to copy the entire content of our Websites. The Member shall reimburse the Club of Investors in Parking lots and Garages (CIPG) for all costs incurred on the date of receipt of the termination, notwithstanding any damages that may be charged to the Member for direct and indirect damage suffered by the Club of Investors in Parking lots and Garages (CIPG) as a result of such cancellation.

20). Force majeure :

Neither party shall be liable for any delay, non-performance or other breach of its obligations with respect to the Order and/or the warranty, if such failure results from force majeure or fortuitous circumstances. Are expressly considered as fortuitous or force majeure cases, in addition to those usually retained by the case law of the French Courts and Tribunals, total or partial strikes, internal or external to the company, bad weather, blocking of means of transport or supply for any reason whatsoever, natural causes, computer failures and failures, blocking of telecommunications including the wireline, mobile telephone network (GSM, GPRS, 3G, 4G…) or any other case beyond the express control of the parties preventing the execution hereof.
In this case, the Parties shall not be liable for the partial or total non-performance of their obligations under these General Terms and Conditions.

21). Tolerance :

Any tolerance or waiver of its right by either party, relating to the application of all or part of the commitments provided for in these General Terms and Conditions, whatever the frequency or duration, shall not be deemed to modify these General Terms and Conditions, nor shall it generate for the future in favour of the other party any acquired rights or of any nature whatsoever.

22). Severability of clauses :

The invalidity resulting from the nullity, lapse, lack of binding force, unenforceability of any of the provisions of the General Terms and Conditions pronounced pursuant to a law, regulation or final decision rendered by a competent court, shall in no way entail invalidity, nullity, lack of binding force or unenforceability of the other provisions of these General Terms and Conditions and has no effect with regard to the other contractual provisions, which shall retain all their effects, force and scope with regard to all the parties. In this case, the parties may get closer and by mutual agreement, agree to replace or modify the invalidated provision(s).

23). Independence :

The Parties acknowledge that they act and contract in their own name and for their own account and that they are bound only by and under the terms and conditions of these General Terms and Conditions.
Neither party is authorized to make any commitment whatsoever in the name and/or on behalf of the other party.
No Member may override the decisions of the head of the Club of Investors in Parking lots and Garages (CIPG).
In addition, each of the parties (Visitor and Member) remains solely responsible for its actions and declares that it fully assumes full responsibility for its actions, allegations, commitments, services, Products, Services and personnel.

24). Sincerity :

The parties declare sincere the commitments entered into by them under the terms of these General Terms and Conditions, which they undertake to perform in good faith.

25). Languages :

The original version of these General Terms and Conditions has been written in French. Thus, the French version will be considered as the official version between the parties. In the event of any dispute between the parties concerning these General Terms and Conditions, the French version shall prevail over any other version.
Similarly, in the event that it is necessary to translate these General Terms and Conditions into languages other than those referred to above, it is agreed that only the French version shall prevail between the parties.

26). Additional information service :

For any information or complaint concerning the access or use of the functionalities of our Websites, the Club of Investors in Parking lots and Garages (CIPG) provides the Visitor with an information service by e-mail using our contact form.

27). Litigation management :

27.1). Out-of-court :

In order to find an amicable solution to any dispute that may arise between the parties during the execution of these General Terms and Conditions, the parties agree to work together and each appoint internally a person with decision-making power to manage the dispute.
These two persons shall meet, at the initiative of the most diligent party, within thirty (30) days of the other party’s notification requesting a conciliation meeting. The agenda will be set by the party at the initiative of the conciliation and may be amended and then finally agreed in a contradictory manner between the parties at the first meeting.
Decisions taken by mutual agreement shall be recorded in the minutes of the meeting within thirty (30) days of the meeting and shall have contractual force.

27.2). Conciliation with the intervention of a third party :

In the event of failure of the amicable phase above or the persistence of points of difficulty, the parties may amicably appoint a man able to decide between them.
The conciliator shall attempt to reconcile the parties within two months of the first meeting and shall formalize a report to that effect, dated and signed by him.
If this report accepts the agreement of the parties, they undertake to sign a confidential transaction within a maximum period of thirty (30) days from the date of the aforementioned report, which must expressly specify whether these General Terms and Conditions continue to apply and under what conditions.

27.3). Jurisdiction :

In the event of failure of the conciliation procedure: these General Terms and Conditions are subject to the provisions of French law ; only the courts of the city of Roanne (42) shall have jurisdiction.
